TITLE I CIVIL PERSONALITY
Chapter 3. Juridical Persons
Article 45. Juridical persons
mentioned in Nos. 1 and 2 of the preceding article are governed by the laws
creating or recognizing them.
Private corporations are regulated by laws of general application
on the subject.
Partnerships and associations for private interest or purpose are
governed by the provisions of this Code concerning partnerships. (36 and 37a)
ü The law
clearly states that laws govern juridical persons.
ü The State
is governed by the Constitution.
ü The
political subdivisions such as local government units like provinces, cities
and municipalities are governed by the Local Government Unit Code as well
as the charters creating them.
ü Private
corporations or partnerships are governed by the Corporation Code and the Civil
Code.
